01Acceptance of terms
These Terms of Service (the "Terms") form a binding legal agreement between you and OAIRoute
("we", "us" or "the Platform") covering your access to this website, registration of an account,
use of the API and any related services (collectively, the "Service").
By clicking to accept, completing registration, obtaining an API key or making an API call, you confirm
that you have read, understood and agreed to all of these Terms.
If you do not agree with any part of these Terms, stop using the Service immediately.
If you use the Service on behalf of a company or other organisation, you represent that you are
authorised to bind that organisation, and these Terms apply to it as well as to you.
Note
We provide relay and routing for model APIs; we do not develop the models themselves.
Model output is generated by the upstream providers, not by us.
02Definitions
- Service: the model invocation, routing, metering and account features provided through our unified endpoint.
- API key: the credential used to authenticate and call the API, with its own permissions and limits.
- Upstream provider: the third-party vendor that actually performs model inference.
- Usage: consumption measured in tokens or requests.
- Balance: prepaid credit in your account applied against Service fees.
- Content: the input you submit through the Service and the output returned by a model.
03Accounts and security
3.1 Registration details
You must provide accurate, current and complete registration information and keep it up to date.
You are responsible for any consequences of inaccurate details, including an inability to recover your
account or to obtain a refund.
3.2 Account ownership
Accounts are for the registered party only and may not be lent, rented, sold or shared.
All activity under your account is treated as your own.
3.3 Key security
API keys are the sole credential for the Service. Keep them safe:
- never expose keys in public repositories, clients or screenshots;
- create separate keys for development, staging and production;
- revoke and regenerate immediately if a key is leaked;
- usage incurred through a leaked key is the account holder's responsibility.
3.4 Account suspension
If we detect abnormal usage, key theft, bulk registration or other risks, we may restrict account
features first and restore or terminate after review.
04Scope of service
4.1 How it works
We expose an OpenAI-compatible unified endpoint and forward your requests to the official APIs of
upstream providers. The model list, context windows and prices shown in the catalogue and console are
authoritative.
4.2 Model output
Accuracy, completeness and suitability of model output are determined by the upstream provider, and we
make no warranty about them. For output in medical, legal, financial or security contexts,
you must review it before use and must not rely on it as the sole basis for decisions.
4.3 Not included
- copyright or commercial licensing for model output;
- service commitments or support provided directly by upstream providers;
- custom work for industry-specific compliance (available on request).
05Acceptable use
5.1 Prohibited conduct
When using the Service you must not:
- violate applicable laws in your jurisdiction or mandatory regulations;
- generate, store or distribute unlawful, obscene, violent or terror-related material, or infringe others' rights;
- engage in fraud, phishing, harassment, hate speech, deepfakes or other harm to others;
- reverse engineer, decompile, scrape, stress test or otherwise attack the Service;
- circumvent usage limits, impersonate others, bulk-register accounts or resell access;
- use the Service for activities that require a licence you do not hold;
- infringe intellectual property, trade secrets or personal privacy.
5.2 Enforcement
If you breach these rules we may, without prior notice, issue warnings, rate-limit, suspend keys,
freeze accounts or terminate the Service, and we reserve the right to seek compensation for any loss.
5.3 Your compliance obligations
You are responsible for ensuring that your use of the Service meets the regulatory requirements of your
industry, including content moderation, cross-border data transfer and algorithm filing. We do not
assume those obligations on your behalf.
Important
If you surface model output in public-facing products, establish your own content review and remain
responsible for the final content.
06Billing and refunds
6.1 Metering
The Service is billed by usage at the unit prices shown in the model catalogue. Usage is based on our
billing records. If your local count differs, ours governs, although you may request a review.
6.2 Balance
Credit purchased is applied only to Service fees and is
non-transferable, non-withdrawable and bears no interest.
Please use or refund any remaining balance before closing your account.
6.3 Refunds
If you are not satisfied, the remaining balance in your account is refundable. Join our
Telegram channel or group
and message an admin with your situation.
Refund policy
Refunds exclude service fees already incurred; the exact amount is based on the actual remaining balance.
Transfers may incur a processing fee charged by the payment platform, borne by the user.
6.4 Price changes
When upstream providers change prices, our prices may follow. Changes are published in the model
catalogue and are not applied retroactively to past usage.
07Availability and changes
7.1 Availability
We use multi-channel redundancy and automatic retry to improve reliability, but we do not guarantee
100% availability. Live status and incident history are published at
status.oairoute.com.
7.2 Maintenance and outages
For interruptions caused by maintenance, upstream API changes, model retirement or events outside our
reasonable control, we will make reasonable efforts to give advance notice and to explain afterwards,
but we are not liable for compensation on that basis.
7.3 Feature changes
We may add, modify or retire features and models. Where a change materially affects your business we
will announce it in advance through our public channels.
08Intellectual property
8.1 Platform rights
The design, copy, marks, code and documentation of this website belong to us or the relevant rights
holders. You may not copy, modify, distribute, publicly display or commercially exploit them without
written permission.
8.2 Your content
Input you submit remains yours. You grant us a limited licence to process it only as needed to provide
the Service (forwarding, metering, troubleshooting); that licence ends when the Service ends.
8.3 Model output
Ownership of model output is governed by the upstream provider's terms. Before publishing output
externally, confirm that it does not infringe third-party rights.
09Privacy and data
How we collect, use, store and protect your information is described in the
Privacy Policy, which forms part of these Terms.
Our core commitment: your conversation content is never used to train models and is never sold
to third parties; logs retain only the metadata required for billing and troubleshooting.
10Disclaimers
The Service is provided "as is" and "as available". To the fullest extent permitted by law we disclaim
all express and implied warranties, including merchantability, fitness for a particular purpose and
non-infringement.
- we do not warrant uninterrupted, error-free or fully secure operation;
- we do not warrant the accuracy or legality of model output;
- we do not guarantee that upstream providers will continue to offer their services;
- we are not responsible for consequences of your breach of these Terms or the law.
11Limitation of liability
To the extent permitted by law, we are not liable for indirect, incidental, special or punitive damages
arising from use of or inability to use the Service, including loss of profits, goodwill, data or
business interruption.
Our aggregate liability for any cause is limited to
the amount you actually paid for the relevant Service in the twelve (12) months preceding the event.
These limits do not apply to personal injury caused by our wilful misconduct or gross negligence, or
where law prohibits such limitation.
12Termination
12.1 By you
You may stop using the Service and request account closure at any time; settle fees and any remaining balance first.
12.2 By us
If you materially breach these Terms, engage in unlawful activity or pose a significant security risk,
we may terminate immediately and pursue legal remedies.
12.3 After termination
Your right to call the Service ends immediately. Provisions on billing, intellectual property,
disclaimers, limitation of liability and dispute resolution survive.
13Changes to these terms
We may update these Terms due to legal or business changes. Material changes will be announced in
advance through the site, email or our Telegram channel, with an updated date and version number.
Continued use after a change takes effect constitutes acceptance of the revised Terms; if you disagree,
stop using the Service and request account closure.
14Governing law and disputes
These Terms are governed by the laws of the People's Republic of China, excluding its conflict-of-laws rules.
Disputes should first be resolved through good-faith negotiation. If that fails, either party may bring
an action in the competent court where the operator of the Platform is located.
15General provisions
15.1 Entire agreement
These Terms, together with the Privacy Policy and published billing rules, form the entire agreement regarding the Service.
15.2 Severability
If any provision is held invalid or unenforceable, the remaining provisions stay in effect.
15.3 No waiver
Our failure or delay in exercising a right does not waive that right.
